These Terms and Conditions of Business (“Terms”) govern the relationship between Aljo Ents Ltd (trading as Sonic Artistes) (“the Company”, “we”, “us” or “our”) and any individual (“the Artiste”, “you” or “your”) in connection with the introduction of the Artiste to Carnival UK (trading as P&O Cruises), Fleet Maritime Services, or any related entity (collectively “the Client”).

By engaging with the Company, confirming proposed dates, digitally signing any Assignment Agreement, or accepting any recommendation or introduction, you agree to be bound by these Terms.

1.1 “Client” means Carnival UK (trading as P&O Cruises), Fleet Maritime Services, and any entity to which they delegate crew management or related functions.
1.2 “Restricted Client” means the Client and any vessel owned, operated or managed by the Client.
1.3 “Introduction” means the presentation or recommendation of the Artiste to the Client by the Company.
1.4 “Assignment Agreement” means any exclusivity or acceptance document issued by the Company in relation to a specific opportunity.

2.1 The Company acts solely as a manning and recruitment agent.
2.2 The Company provides employment recommendations to the Client. The final decision whether to engage any Artiste rests exclusively with the Client and remains subject to the successful completion of the Client’s onboarding, medical, background and pre-employment processes.
2.3 The Company does not employ the Artiste and does not enter into any contract of employment with the Artiste.

3.1 Any discussions, proposed dates, communications, documents or information (whether verbal, written, electronic or otherwise) issued by or on behalf of the Company do not constitute, and shall not be construed as, an offer of employment by the Company.
3.2 Such communications are made purely in the course of negotiations and shall have no contractual force or effect unless and until a formal contract of employment is issued directly by the Client.
3.3 The Company reserves the absolute right, at its sole discretion and without liability, to withdraw any recommendation, proposed engagement, communication or Assignment Agreement at any time prior to the issuance of a contract by the Client.

4.1 In consideration of the Introduction, the Artiste agrees to the exclusive agency terms set out in this Clause 4 and in any Assignment Agreement.
4.2 The exclusivity period shall commence on the date of digital signature of the relevant Assignment Agreement (or, if earlier, the date of confirmation of proposed dates) and shall continue for a period of two (2) years.
4.3 The exclusivity period shall automatically renew for a further period of two (2) years upon the arrangement of each subsequent contract facilitated by the Company with the Restricted Client.
4.4 During the exclusivity period the Artiste shall not:
‍ ‍ (a) accept, directly or indirectly, any contract of employment or engagement on any vessel owned, operated or managed by the Restricted Client, whether such opportunity arises directly or through any third-party agency or intermediary;
‍ ‍ (b) enter into any employment, agency or related agreement with the Restricted Client or any third party in relation thereto without the prior express written consent of the Company; or
‍ ‍ (c) fail to direct immediately and without exception to the Company any offer of employment or engagement made by any party other than the Company in respect of the Restricted Client.
4.5 Nothing in these Terms constitutes exclusive representation of the Artiste by the Company on a general basis. The Artiste remains free to accept engagements with any cruise line or operator other than the Restricted Client.

5.1 By digitally signing an Assignment Agreement or confirming proposed dates, the Artiste irrevocably agrees to the proposed dates and to the exclusive agency terms set out in these Terms and the relevant Assignment Agreement.
5.2 The Artiste is responsible for carefully reviewing all details contained in any proposed contract offer. Any error or discrepancy must be notified to contact@sonicartistes.com without delay.

6.1 The Company shall not be liable for any loss, damage, cost or expense arising from:
‍ ‍ (a) the Client’s decision not to engage the Artiste;
‍ ‍ (b) the withdrawal of any recommendation or Assignment Agreement;
‍ ‍ (c) any delay or failure in the Client’s onboarding or contracting process; or
‍ ‍ (d) any act or omission of the Client.
6.2 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

7.1 The Company will process personal data in accordance with applicable data protection legislation.
7.2 The Artiste shall keep confidential all information relating to the Company’s business, the Client, and any proposed engagement, and shall not disclose such information to any third party without the prior written consent of the Company.

8.1 These Terms, together with any Assignment Agreement, constitute the entire agreement between the parties in relation to the subject matter and supersede all prior discussions or representations.
8.2 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
8.3 No failure or delay by the Company in exercising any right under these Terms shall constitute a waiver of that right.
8.4 These Terms may be updated by the Company from time to time. The version in force at the time of any Introduction or Assignment Agreement shall apply.
8.5 These Terms are governed by and shall be construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

These Terms are legally binding upon the Artiste with effect from the earlier of: (a) digital signature of any Assignment Agreement; (b) written or electronic confirmation of proposed dates; or (c) acceptance of any Introduction facilitated by the Company.
